1. Introduction

Welcome to Dealockr (hereafter referred to as & “the Platform”). By accessing or using our services,
you agree to comply with and be bound by these Terms of Use. If you do not agree to these terms,
you must not use the Platform.

2. Definitions

• User: Any individual or entity that uses the Platform to initiate or complete transactions.
• Escrow Service: The service provided by the Platform to hold funds in trust until predetermined
  conditions are met by the parties involved in a transaction.
• Transaction: Any agreement or exchange of goods or services conducted through the Platform.

3. Acceptance of Terms

By creating an account or using the Platform, you confirm that you have read, understood, and
agreed to these Terms of Use, our Privacy Policy, and any additional policies posted on the Platform.

4. Eligibility

To use the Platform, you must be at least 18 years old and have the legal capacity to enter into
contracts. If you are using the Platform on behalf of an organization, you represent that you have the
authority to bind that organization to these Terms.

5. Account Registration

• You must create an account to access certain features of the Platform.
• You agree to provide accurate, current, and complete information during the registration process and
  to update your information as necessary.
• You are responsible for maintaining the confidentiality of your account credentials and for all
  activities that occur under your account.

6. Use of the Platform

• You agree to use the Platform only for lawful purposes and in accordance with these Terms.
• You agree not to:
  Use the Platform in any manner that could disable, overburden, or impair the Platform.
  Use any robot, spider, or other automatic device to access the Platform for any purpose without our
  express written permission.
• Attempt to gain unauthorized access to the Platform, other accounts, or any computer systems or
  networks connected to the Platform.

7. Escrow Transactions

• When you initiate a transaction using the Escrow Service, you authorize the Platform to hold the
  agreed-upon funds until the conditions specified in the transaction agreement are fulfilled.
• Both parties in a transaction must agree to the terms before funds are released.
• The Platform is not a party to the transaction and is not responsible for the performance of any
  obligations by either party.

8. Fees

• The Platform may charge fees for its services, which will be disclosed at the time of the transaction.
  By using the Escrow Service, you agree to pay all applicable fees.
• Fees are non-refundable unless otherwise stated.

9. User Responsibilities

• You are responsible for ensuring that the content you provide is accurate and does not violate any
  laws or third-party rights.
• You agree to comply with all applicable laws and regulations when using the Platform.

10. Dispute Resolution

• In the event of a dispute between users, the Platform may act as a neutral facilitator but is not
  responsible for resolving disputes. Users are encouraged to resolve their differences directly.
• If a resolution cannot be reached, users may seek to mediate the dispute or pursue legal remedies
  in accordance with applicable laws.

11. Limitation of Liability

• To the fullest extent permitted by law, the Platform shall not be liable for any indirect, incidental,
  special, or consequential damages arising out of or in connection with your use of the Platform.
• The Platform’s liability is limited to the maximum extent permitted by law.

12. Modifications to Terms

The Platform reserves the right to modify these Terms of Use at any time. Users will be notified of any
significant changes, and continued use of the Platform after such changes constitutes acceptance of
the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States of America,
without regard to its conflict of law principles.
